第一条Article 1 本会全称为"博雅（香港）文体艺术学会"（英文名称：Boya (HongKong) Culture, Athletics & Arts Society，简称BCAAS），是在香港特别行政区依法登记注册的非营利性学术组织。The full name of this association is "Boya (HongKong) Culture, Athletics & Arts Society" (English name: Boya (HongKong) Culture, Athletics & Arts Society, referred to as BCAAS). It is a non-profit academic organization registered in accordance with the law in the Hong Kong Special Administrative Region.

第二条Article 2 本会以"博学、雅正、融通"为核心理念，致力于文化艺术与体育领域的学术研究、人才培育、成果评价和国际交流。With the core concepts of "Erudition, Elegance, and Integration", the Association is committed to academic research, talent cultivation, achievement evaluation, and international exchanges in the fields of culture, arts, and athletics.

第三条Article 3 本会的住所设于香港特别行政区。The domicile of the Association is in the Hong Kong Special Administrative Region.

第四条Article 4 本会的业务范围包括：The business scope of the Association includes:
（一）文化艺术与体育领域的学术研究与课题管理；(1) Academic research and project management in the fields of culture, arts, and athletics;
（二）专业人才认证与评价；(2) Certification and evaluation of professional talents;
（三）文体艺术成果评审与推广；(3) Review and promotion of culture, athletics, and arts achievements;
（四）行业奖项评选与表彰；(4) Industry award selection and recognition;
（五）国际学术交流与合作；(5) International academic exchanges and cooperation;
（六）学术出版物编辑与发行；(6) Editing and distribution of academic publications;
（七）青年人才扶持与培育；(7) Support and cultivation of young talents;
（八）其他符合本会宗旨的活动。(8) Other activities consistent with the purpose of the Association.

第五条Article 5 本会会员分为三类：荣誉会员、正式会员、预备会员。The members of this association are divided into three categories: honorary members, full members, and associate members.

第六条Article 6 申请成为正式会员须满足以下条件：To apply to become a full member, you must meet the following conditions:
（一）在文化、艺术或体育相关领域具有本科及以上学历或同等专业资质；(1) Have a bachelor’s degree or above or equivalent professional qualifications in culture, art or sports-related fields;
（二）在相关领域从事研究、教学、创作或管理工作满三年；(2) Engaged in research, teaching, creation or management in relevant fields for three years or more;
（三）提交不少于两项代表性专业成果；(3) Submit no less than two representative professional results;
（四）经两名现有正式会员或一名荣誉会员推荐；(4) Recommended by two existing full members or one honorary member;
（五）通过本会组织的资格评审。(5) Pass the qualification review organized by the Association.

第七条Article 7 预备会员须满足以下条件：Probationary members must meet the following conditions:
（一）在相关领域具有专科及以上学历；(1) Have a college degree or above in relevant fields;
（二）正在从事相关领域的研究或实践工作；(2) Currently engaged in research or practical work in related fields;
（三）提交个人简历及工作说明；(3) Submit your resume and work description;
（四）经一名现有正式会员推荐或由秘书处初审推荐。(4) Recommended by an existing official member or recommended by the Secretariat after preliminary review.

第八条Article 8 荣誉会员由会务委员会根据候选人的行业贡献和学术成就提名，经学术委员会审议通过后授予。荣誉会员须在文化艺术或体育领域具有公认的卓越成就和广泛的行业影响力。Honorary membership is nominated by the conference committee based on the candidate's industry contribution and academic achievements, and is awarded after review and approval by the academic committee. Honorary members must have recognized outstanding achievements and broad industry influence in the fields of culture, art or sports.

第九条Article 9 会员享有以下权利：Members enjoy the following rights:
（一）参加本会组织的各类学术活动和研讨会议；(1) Participate in various academic activities and seminars organized by the Association;
（二）申报课题研究项目（正式会员及荣誉会员）；(2) Apply for research projects (full membership and honorary membership);
（三）参与或申请成果评审服务；(3) Participate in or apply for achievement review services;
（四）获得本会出版物和学术资源；(4) Obtain the publications and academic resources of the Association;
（五）享有年度评选的推荐和申报资格；(5) Enjoy the qualifications for recommendation and application for annual selection;
（六）使用本会认证的专业身份标识；(6) Use professional identification certified by the association;
（七）优先参与本会组织的国际交流项目；(7) Give priority to participating in international exchange projects organized by the Association;
（八）对本会重大事务享有知情权和建议权。(8) Have the right to know and make suggestions on major matters of the Association.

第十条Article 10 会员应履行以下义务：Members should fulfill the following obligations:
（一）遵守本章程及各项管理规定；(1) Comply with this Articles of Association and various management regulations;
（二）按时缴纳年度会费；(2) Pay annual membership fees on time;
（三）维护本会声誉和利益；(3) Maintain the reputation and interests of the Association;
（四）积极参与本会各项学术活动；(4) Actively participate in various academic activities of the Association;
（五）遵守学术道德准则和职业操守规范。(5) Abide by academic ethics and professional ethics.

第十一条Article 11 会员有下列情形之一的，经会务委员会审议后取消会员资格：If a member has any of the following circumstances, his or her membership will be canceled after review by the conference committee:
（一）严重违反本章程或学术道德准则；(1) Serious violation of this charter or academic ethics;
（二）连续两年未缴纳会费且经催告仍未补缴；(2) Failure to pay membership dues for two consecutive years and failure to make up payment despite reminder;
（三）从事损害本会声誉的行为；(3) Engage in behavior that damages the reputation of the Association;
（四）因违法犯罪行为受到刑事处罚；(4) Subject to criminal punishment for illegal and criminal acts;
（五）提供虚假材料骗取会员资格的。(5) Providing false materials to defraud membership.

第十二条Article 12 被取消会员资格者，自取消之日起两年内不得重新申请。Those whose membership is canceled shall not reapply within two years from the date of cancellation.

第十三条Article 13 会务委员会为本会最高决策机构，由会长一人、副会长一至二人、秘书长一人及委员若干人组成，总人数不超过九人。The General Affairs Committee is the highest decision-making body of the association, consisting of one president, one to two vice-presidents, one secretary-general and several committee members, with a total number of no more than nine people.

第十四条Article 14 会务委员会的职权包括：The powers of the conference committee include:
（一）制定和修改本会章程；(1) Formulate and amend the association’s charter;
（二）选举和罢免会长、副会长；(2) Elect and remove the president and vice president;
（三）审议年度工作报告和财务报告；(3) Review the annual work report and financial report;
（四）决定重大业务活动方案；(4) Decide on plans for major business activities;
（五）审批荣誉会员候选人；(5) Examine and approve candidates for honorary membership;
（六）任命专家顾问委员会和评选组委会负责人；(6) Appoint the heads of the expert advisory committee and the selection organizing committee;
（七）审议和批准年度预算和决算；(7) Review and approve the annual budget and final accounts;
（八）决定本会的合并、分立和终止。(8) Decide on the merger, division and termination of the association.

第十五条Article 15 会务委员会每半年召开一次常规会议，由会长或其委托的副会长召集和主持。经三分之一以上委员提议，可召开临时会议。会议须有三分之二以上委员出席方为有效。The General Affairs Committee holds a regular meeting every six months, convened and chaired by the president or his authorized vice-president. Extraordinary meetings may be convened upon the proposal of more than one-third of the members. A meeting must be attended by more than two-thirds of the members to be valid.

第十六条Article 16 会务委员会决议须经出席委员半数以上表决通过。涉及章程修改、机构合并或终止等重大事项，须经全体委员三分之二以上同意。Resolutions of the General Affairs Committee must be passed by more than half of the members present. Major matters involving amendments to the articles of association, merger or termination of organizations, etc. must be approved by more than two-thirds of all members.

第十七条Article 17 学术委员会负责本会学术方向把控和学术标准制定，由不少于七名具有高级职称或博士学位的专家组成。学术委员会主任由会务委员会任命。The Academic Committee is responsible for controlling the academic direction and formulating academic standards of the Association, and is composed of no less than seven experts with senior professional titles or doctoral degrees. The director of the academic committee is appointed by the conference committee.

第十八条Article 18 学术委员会的职权包括：The responsibilities of the Academic Committee include:
（一）制定和修改学术评审标准；(1) Develop and revise academic review standards;
（二）审议课题立项和结题；(2) Review the project establishment and conclusion;
（三）评议荣誉会员候选人的学术资质；(3) Evaluate the academic qualifications of honorary membership candidates;
（四）指导博雅艺体创研中心的学术工作；(4) Guide the academic work of the Boya Art and Sports Research Center;
（五）审定学术出版物的内容质量。(5) Review the content quality of academic publications.

第十九条Article 19 秘书处为本会日常执行机构，设秘书长一人，在会务委员会领导下负责日常事务管理。秘书处下设会员事务部、项目管理部和国际合作部。The secretariat is the daily executive body of the association, with a secretary-general responsible for the management of daily affairs under the leadership of the conference committee. The secretariat consists of the Member Affairs Department, Project Management Department and International Cooperation Department.

第二十条Article 20 秘书长的职权包括：The Secretary-General’s powers include:
（一）主持秘书处日常工作；(1) Preside over the daily work of the Secretariat;
（二）执行会务委员会决议；(2) Implement the resolutions of the General Affairs Committee;
（三）管理本会日常财务；(3) Manage the association’s daily finances;
（四）代表本会处理日常对外事务；(4) Represent the Association in handling daily external affairs;
（五）向会务委员会报告工作。(5) Report work to the conference committee.

第二十一条Article 21 本会通过博雅艺体创研中心受理和管理课题研究项目，设重点课题和一般课题两个层级。重点课题由本会提供研究经费支持。The Association accepts and manages research projects through the BCAAS Creative Research Center, and has two levels: key topics and general topics. Key topics are supported by research funds provided by the Association.

第二十二条Article 22 课题申报人须为本会正式会员或荣誉会员。预备会员可作为课题组成员参与研究，但不得作为课题负责人。Applicants for the project must be full members or honorary members of the Association. Probationary members can participate in research as members of the research team, but cannot serve as project leaders.

第二十三条Article 23 课题申报须提交以下材料：Topic application must submit the following materials:
（一）课题申请书；(1) Project application form;
（二）详细研究计划，包括研究目标、方法、进度安排和预期成果；(2) Detailed research plan, including research objectives, methods, schedule and expected results;
（三）申报人及团队成员简历及代表性成果；(3) Resumes and representative achievements of the applicant and team members;
（四）相关前期研究基础说明；(4) Basic description of relevant preliminary research;
（五）经费预算（申报重点课题者）。(5) Fund budget (for those who apply for key projects).

第二十四条Article 24 课题评审采取匿名评审制，由学术委员会指定不少于三名评审专家进行独立评审。评审结果分为"建议立项""建议修改后立项"和"不予立项"三种。The project review adopts an anonymous review system, and the academic committee appoints no less than three review experts to conduct independent reviews. The review results are divided into three categories: "Project approval recommended", "Project approval after modification recommended" and "Project not approved".

第二十五条Article 25 课题研究周期一般为十二至二十四个月。确需延期的，课题负责人须提前三个月提交延期申请，经学术委员会批准后可延期一次，延期不超过六个月。The project research period is generally twelve to twenty-four months. If an extension is really needed, the project leader must submit an extension application three months in advance. After approval by the academic committee, the extension can be extended once, and the extension shall not exceed six months.

第二十六条Article 26 课题结题须提交结题报告、研究成果（论文、著作、创作作品或实践案例等）及经费使用说明（重点课题），经评审合格后颁发结题证书。The project completion report, research results (theses, books, creative works or practical cases, etc.) and funds usage instructions (key topics) must be submitted. After passing the review, a completion certificate will be issued.

第二十七条Article 27 "博雅杯"文体艺术卓越成就评选（以下简称"博雅杯"评选）为本会主办的年度评选活动，由博雅杯评选组委会独立组织实施。The "Boya Cup" Selection of Outstanding Achievements in Culture, Athletics and Arts (hereinafter referred to as the "Boya Cup" Selection) is an annual selection event hosted by the Association and is independently organized and implemented by the Boya Cup Selection Organizing Committee.

第二十八条Article 28 评选组委会由会务委员会任命的主任委员一人及不少于五名委员组成，负责评选标准制定、申报受理、评审组织和结果公布等全部工作。The selection organizing committee consists of a chairman appointed by the conference committee and no less than five members. It is responsible for all work including the formulation of selection standards, application acceptance, review organization and results announcement.

第二十九条Article 29 "博雅杯"评选设立以下奖项类别：The "Boya Cup" selection has the following award categories:
（一）文化研究卓越奖；(1) Cultural Research Excellence Award;
（二）艺术创作成就奖；(2) Artistic Creation Achievement Award;
（三）体育学术贡献奖；(3) Sports Academic Contribution Award;
（四）文体教育创新奖；(4) Innovation Award for Cultural and Sports Education;
（五）青年新锐奖。(5) Youth Emerging Award.

第三十条Article 30 评选程序包括：The selection process includes:
（一）公开征集申报材料，申报期不少于四十五日；(1) Public collection of application materials, the application period shall be no less than forty-five days;
（二）资格审查，核实申报人身份和材料真实性；(2) Qualification review to verify the identity of the applicant and the authenticity of the materials;
（三）专家匿名评审，每位申报人须经不少于三名专家独立评分；(3) Anonymous review by experts, each applicant must be independently scored by no less than three experts;
（四）评选组委会终审投票，确定获奖名单；(4) The selection organizing committee will conduct a final vote to determine the list of winners;
（五）获奖名单公示，公示期不少于七个工作日；(5) The list of winners shall be announced for no less than seven working days;
（六）正式颁奖。(6) Formal awarding.

第三十一条Article 31 任何评选组委会成员如与申报人存在利益关系（包括但不限于师生关系、亲属关系、商业合作关系），须主动申报并回避该申报人的评审和投票。If any member of the selection committee has an interest relationship with the applicant (including but not limited to teacher-student relationship, family relationship, business cooperation relationship), he must actively declare and avoid the review and voting of the applicant.

第三十二条Article 32 专家顾问委员会独立运作，负责本会专家的遴选、聘任和管理工作。The Expert Advisory Committee operates independently and is responsible for the selection, appointment and management of experts of the Association.

第三十三条Article 33 专家顾问委员会设以下职务类型：The Expert Advisory Committee has the following job types:
（一）高级顾问：由会务委员会邀请行业领军人物担任；(1) Senior consultant: Industry leaders will be invited by the conference committee;
（二）研究员：具有博士学位或副高以上职称的学者经申请和评审后聘任；(2) Researcher: Scholars with a doctoral degree or a professional title of associate professor or above will be appointed after application and review;
（三）特聘专家：在特定领域具有十年以上实践经验和显著行业影响力的专家经申请和评审后聘任。(3) Specially appointed experts: Experts with more than ten years of practical experience and significant industry influence in specific fields are appointed after application and review.

第三十四条Article 34 专家聘任程序：Expert appointment procedure:
（一）个人申请或机构推荐；(1) Personal application or institutional recommendation;
（二）秘书处进行资格初审；(2) The Secretariat conducts preliminary qualification review;
（三）学术委员会评议；(3) Evaluation by the academic committee;
（四）会务委员会审批；(4) Approval by the conference committee;
（五）颁发聘书并公布。(5) Issue a letter of appointment and announce it.

第三十五条Article 35 专家聘期为三年，期满经考核合格可续聘。聘期内无故不履行职责、违反学术道德或损害本会声誉的，可由会务委员会决定提前解聘。The term of appointment of experts is three years, and they can be renewed upon passing the assessment at the end of the term. Those who fail to perform their duties without reason, violate academic ethics or damage the reputation of the association during the appointment period may be dismissed early by the conference committee.

第三十六条Article 36 专家的职责包括：Expert responsibilities include:
（一）参与课题评审和学术指导；(1) Participate in project review and academic guidance;
（二）为学会学术方向提供咨询意见；(2) Provide consulting opinions on the academic direction of the society;
（三）推荐优秀人才和项目；(3) Recommend outstanding talents and projects;
（四）参与或支持学会主办的学术活动；(4) Participate in or support academic activities sponsored by the society;
（五）维护学会的学术声誉。(5) Maintain the academic reputation of the society.

第三十七条Article 37 本会经费来源包括：The association’s funding sources include:
（一）会员年度会费；(1) Annual membership dues;
（二）课题管理费和服务费；(2) Project management fees and service fees;
（三）企业和个人的捐赠和资助；(3) Donations and funding from enterprises and individuals;
（四）学术服务和培训收入；(4) Income from academic services and training;
（五）出版物发行收入；(5) Income from publication distribution;
（六）其他合法收入。(6) Other legal income.

第三十八条Article 38 本会经费必须用于章程规定的业务活动和机构运营，不得在会员中分配，不得挪作他用。The funds of the association must be used for business activities and institutional operations stipulated in the articles of association, and may not be distributed among members or misappropriated for other purposes.

第三十九条Article 39 本会建立严格的财务管理制度，实行预决算管理。秘书处编制年度财务报告，经会务委员会审查通过后执行。The Association has established a strict financial management system and implemented budget and final accounts management. The secretariat prepares the annual financial report, which is implemented after review and approval by the conference committee.

第四十条Article 40 本会接受的捐赠和资助须符合法律规定，不得附加违反本会宗旨的条件。Donations and funding accepted by the association must comply with legal requirements and shall not be subject to conditions that violate the purpose of the association.

第四十一条Article 41 本章程的解释权属于会务委员会。The right to interpret this charter belongs to the conference committee.

第四十二条Article 42 本章程经创始会员大会通过后生效。章程修改须由会务委员会三分之二以上委员提议，并经全体委员三分之二以上同意方可通过。This Article of Association shall come into effect upon approval by the founding members meeting. Amendments to the Articles of Association must be proposed by more than two-thirds of the members of the General Affairs Committee and approved by more than two-thirds of all members.

第四十三条Article 43 本会终止时，由会务委员会组成清算组进行清算。清算后的剩余财产按照有关法律规定处理。When the association is terminated, the conference committee shall form a liquidation committee to carry out liquidation. The remaining property after liquidation shall be handled in accordance with relevant legal provisions.

第四十四条Article 44 本章程未尽事宜，由会务委员会依据香港特别行政区相关法律法规另行制定细则。For matters not covered in this charter, the conference committee will formulate separate rules in accordance with the relevant laws and regulations of the Hong Kong Special Administrative Region.

第四十五条Article 45 本章程自2019年3月15日起施行。This Article of Association shall come into effect on March 15, 2019.
